terms of service

These terms form a legally binding agreement between you and aysra LLC regarding your access to and use of our services.
acceptance and scope
These terms apply to your use of the services as an individual user, a team member, or a representative of a business, nonprofit, foundation, university, agency, or other organization. If you are using the services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization.
Additional terms may apply to specific products, plans, features, beta offerings, promotions, APIs, or business subscriptions. If there is a conflict between these terms and supplemental terms that apply to a specific feature or plan, the supplemental terms control for that feature or plan.
Our Privacy Notice, AI Use Policy, and Acceptable Use Policy are incorporated into these terms by reference.
By accessing or using the services, you agree to these terms. If you do not agree, do not use the services.
eligibility and accounts
You must be at least 13 years old, and at least the minimum age required in your jurisdiction to consent to use online services, to use the services. If you are under 18, you may use the services only with the permission of a parent or legal guardian. The services are not directed to children under 13, and we do not knowingly collect personal information from children under 13.
You may not use the services if you are barred from doing so under applicable law.
To access certain features, you must create an account. You agree to provide accurate, current, and complete account information and to keep it updated. You are responsible for safeguarding your credentials and for all activities that occur under your account. You must promptly notify us if you suspect unauthorized use of your account.
If your account is associated with an organization, that organization's administrators may have access to and control over your account, workspace, content, billing, and related data as described in the applicable supplemental terms.
affiliation claims
Certain features, including the ability to associate your account with a specific nonprofit, foundation, or other organization by EIN, rely on your representation that you are in fact affiliated with that organization in the role you claim. you represent and warrant that any affiliation, role, title, or organizational relationship you assert through the services is accurate. aysra does not verify employment, board membership, or other organizational relationships, and is entitled to rely on your representation. Misrepresentation of affiliation is a material breach of these terms and grounds for immediate suspension or termination of your account, and may also be grounds for notifying the organization you claimed to represent.
privacy, AI, and related notices
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal data. our AI Use Policy explains how AI-powered features work, including whether and how your inputs and outputs may be used to improve models or services, and what limitations and risks apply to AI-generated content.
If you are a business customer and have entered into a separate Order Form, Data Processing Addendum, Business Terms, or other written agreement with aysra, those documents may provide additional data-processing, confidentiality, security, retention, and liability terms, and they control over these terms in the event of a conflict for the matters they address.
subscription, fees, billing, and refunds
Some features of the services are offered on a paid subscription or usage-based basis. You agree to pay all applicable fees, charges, taxes, and other amounts disclosed to you at the time of purchase.
auto-renewal and cancellation
If your plan renews automatically, we will disclose the renewal cadence, price, and cancellation method before you complete your purchase. By purchasing an auto-renewing plan, you authorize aysra (and our payment processor) to charge your selected payment method on a recurring basis until you cancel.
You may cancel your subscription at any time through your account settings or another cancellation method we make available online. The cancellation method will be at least as easy to use as the method by which you enrolled. Unless otherwise stated at purchase, cancellation takes effect at the end of the then-current billing period, and you retain access to paid features through that date. except where required by law, fees already paid are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or unused features.
California residents
This is a notice required by California's Automatic Renewal Law. Your subscription will automatically renew at the price and cadence disclosed at checkout until you cancel. You may cancel at any time through your account settings without contacting customer support, by phone, or by mail. If a free trial or promotional price applies, your card will be charged the standard renewal price when the trial or promotional period ends unless you cancel before then.
free trials and promotions
If we offer a free trial or promotional price, we will disclose the conditions, including when the trial ends and what you will be charged when it converts. We may begin charging you when the trial or promotional period ends unless you cancel before then.
price changes
We may change our prices from time to time. Any price increase for an ongoing paid subscription will apply only after reasonable advance notice and, unless otherwise required by law, no earlier than your next renewal date. Reasonable advance notice will be sent to the email associated with your account.
failed payments
If your payment method fails, we may suspend or downgrade access to paid features until payment is received. We may also retry the charge using the same payment method for a limited period before suspending access.
authorized payment method and institutional purchases
You represent and warrant that any payment method you use to purchase or maintain a subscription is one you are authorized to use. If the payment method is a corporate, business, institutional, university, government, religious, foundation, or other organization-issued card or account, including any corporate credit card, purchasing card, p-card, virtual card, or equivalent (a "Cardholder Organization" payment method), you further represent and warrant that:
(a) You have express authorization from the Cardholder Organization to use that payment method to purchase the services for the amount and on the billing frequency disclosed at checkout, including all auto-renewal charges;
(b) The purchase is for a legitimate, approved business, institutional, research, or professional purpose;
(c) You have obtained any internal approvals required by the Cardholder Organization's procurement, expense, purchasing, or signing-authority policies; and
(d) Your use of the payment method does not violate any policy, agreement, or instruction of the Cardholder Organization.
aysra is entitled to rely on these representations. if any of them turns out to be inaccurate, for example, if the Cardholder Organization disputes a charge as unauthorized, initiates a chargeback, demands a refund, or otherwise objects to the purchase, you remain personally liable for the disputed amount, all chargeback and payment-processor fees, and the reasonable costs aysra incurs in responding to the dispute, including reasonable attorneys' fees. You will indemnify and hold aysra harmless from any claim, demand, or loss brought by a Cardholder Organization arising out of your use of its payment method to access the services.
aysra may, at its discretion, suspend or terminate access associated with a disputed payment pending resolution, require a substitute payment method, or require written confirmation of authorization from the Cardholder Organization before reinstating access. Nothing in this paragraph limits any rights or remedies the Cardholder Organization may have against you directly.
license to use the services
Subject to your compliance with these terms, aysra grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the services for your internal personal, professional, research, or organizational purposes.
Except for this limited right, aysra reserves all rights, title, and interest in and to the services, including all software, models, derived metrics, behavioral analyses, interfaces, designs, source data transformations, text, graphics, trademarks, service marks, workflows, methodologies, and other intellectual property.
your content
You may submit, upload, transmit, store, generate, or otherwise make available text, prompts, files, images, audio, video, drafts, metadata, feedback, or other materials through the services ("Your Content").
ownership and operational license
As between you and aysra, you retain any ownership rights you have in Your Content. you grant aysra a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, format, adapt, process, and use Your Content solely as necessary to:
(a) Provide, maintain, secure, debug, and improve the services;
(b) Perform your instructions;
(c) Comply with law;
(d) Investigate abuse, fraud, or security incidents; and
(e) Enforce these terms and our policies.
This license ends when Your Content is deleted from the active services, except to the extent (i) it has been shared with others through the services and is in use by them, (ii) it has been retained in backups for a limited rolling period, or (iii) it must be retained to comply with law, legitimate security needs, or a documented business-customer obligation.
right to submit pasted or uploaded content
Many features of the services, including AI-powered analysis, research interrogation tools, draft review, and similar functionality, invite you to paste, upload, or otherwise transmit text, documents, drafts, lists, prompts, or other materials as input. You represent and warrant that for every such submission:
(a) You either own the content or have permission from every person and entity whose rights are implicated, including the author, any subject of the content, and any employer, client, donor, grantee, board, or other party with a confidentiality, contractual, or proprietary interest, to submit the content to aysra and to authorize aysra's processing of it as described in these terms and in our Privacy Notice and AI Notice;
(b) Your submission does not breach any non-disclosure agreement, confidentiality clause, employment agreement, professional ethics obligation, employer policy, board policy, or other duty you owe to a third party;
(c) The content does not contain personal data about other individuals that you are not authorized to disclose to a third-party service provider; and
(d) The content does not contain regulated or restricted information, including protected health information, payment card data, government-classified material, or attorney-client privileged communications shared without authorization, unless aysra has confirmed in writing that the relevant feature is approved for that category of information.
aysra is entitled to rely on these representations. aysra has no obligation to review, verify, or filter submitted content for compliance with this section, and your submission of content does not impose on aysra any obligation of confidentiality or fiduciary duty beyond what is set out in our Privacy Notice, AI Notice, and any applicable business agreement. You are solely responsible for any third-party claim arising from your submission of content in breach of this section, and the indemnification obligations elsewhere in these terms apply to such claims.
training and product-improvement use
aysra will not use Your Content to train general-purpose AI models, foundation models, or third-party model providers' systems. aysra will not use Your Content to improve AI features or services beyond service operation unless we separately ask for and receive your consent, or unless a business customer has agreed otherwise in a written agreement that covers content submitted under that customer's account.
Aggregated and de-identified usage data, for example, counts of feature use, error rates, response times, and similar operational metrics that do not identify you or reveal the content of your inputs, may be used to operate, improve, and analyze the services.
AI features and outputs
The services include AI-powered tools that accept prompts, files, or other inputs and generate responses, summaries, analyses, citations, suggestions, classifications, or other outputs ("Outputs").
You are responsible for your inputs and for your use of any Outputs. AI and machine-learning systems are probabilistic and may produce inaccurate, incomplete, biased, or non-unique Outputs. You must evaluate Outputs for appropriateness and accuracy for your use case, including by using human review where appropriate, before relying on or sharing them.
Where the services apply citations, footnotes, provenance marks, or similar indicators distinguishing source-data values from AI-synthesized content, those indicators are informational. You are responsible for reviewing the underlying citation before relying on a claim.
Unless aysra expressly allows it in writing for a specific feature, you may not rely on Outputs as the sole basis for making decisions that have legal, material, safety, employment, housing, education, insurance, credit, medical, immigration, or similar significant effects on a person.
As between you and aysra, and to the extent permitted by law, you own any rights you have in your inputs and in the Outputs generated specifically for you, subject to the rights of third parties, the non-uniqueness of AI outputs, and any third-party terms that apply to integrated services or licensed materials.
not legal, financial, tax, or fundraising advice
aysra provides research, analysis, and information tools. aysra is not a law firm, accounting firm, tax advisor, investment advisor, fundraising consultancy, or regulator, and the services do not constitute legal, accounting, tax, investment, fundraising, grants-management, compliance, or other professional advice. Outputs, analyses, summaries, and indicators provided by the services are informational and are not a substitute for advice from a qualified professional with knowledge of your specific circumstances.
You are responsible for your decisions and for any communications, applications, or filings you make using information obtained from the services. Before taking action with legal, regulatory, financial, or material consequence, including grant applications, board reporting, donor communications, regulatory filings, employment decisions, or public statements about a third party, you should consult an appropriate qualified professional.
source data and subject-organization rights
aysra processes public data, including but not limited to IRS Form 990, 990-PF, 990-EZ, and 990-N filings, and produces derived metrics, behavioral indicators, and analyses based on that data.
source-data accuracy
The underlying filings and other public records aysra processes may contain errors, omissions, late corrections, transcription discrepancies, or other inaccuracies attributable to the original filer, the agency that compiled the data, or intervening processors. aysra processes and transforms publicly available data and does not warrant the accuracy or completeness of the source data itself. Where the services display source citations, those citations identify the location in the public record from which a value was extracted, and you can verify that value against the original filing.
subject-organization corrections
If you are an officer, employee, or authorized representative of an organization whose public filings are processed by the services and you believe a value displayed in the services is incorrect, the following process applies:
(a) Processing or transformation error. If you believe aysra has incorrectly extracted, calculated, or displayed a value relative to the source filing, you may contact aysra at the address in Section 21 with a specific identification of the value, the location in the source filing, and the correction you believe is needed. aysra will review and correct demonstrable processing or transformation errors within a reasonable time.
(b) Source-filing error. If the value displayed in the services accurately reflects the source filing but you believe the filing itself is incorrect, the correction must be made with the original filing agency (for example, by filing an amended Form 990 with the IRS). aysra will update its records when the corrected filing is published by the agency in the ordinary course.
aysra does not remove accurate records of public filings from the services on demand. Information drawn from public filings is public record, and the integrity of the research function depends on its availability.
acceptable use
You may not use the services to:
(a) Violate any law or regulation;
(b) Infringe, misappropriate, or violate any intellectual property, privacy, publicity, contractual, or other rights;
(c) Upload or distribute malware, malicious code, or harmful content;
(d) Harass, threaten, exploit, or abuse others;
(e) Create or distribute illegal, fraudulent, defamatory, hateful, or obscene content;
(f) Defame, harass, intimidate, coordinate retaliation against, or organize boycotts targeting specific identified nonprofits, foundations, officers, employees, donors, or grantees on the basis of information obtained from the services;
(g) Attempt to gain unauthorized access to accounts, systems, or data;
(h) Interfere with the integrity, performance, or security of the services;
(i) Scrape, crawl, harvest, or systematically extract content from the services except as expressly permitted by an applicable API agreement or written authorization;
(j) Systematically extract, copy, or reconstruct aysra's derived metrics, behavioral analyses, grant-pattern outputs, or other intelligence-layer content, that is, content beyond the underlying public source records, whether by automated means, manual sequencing, or any combination;
(k) Reverse engineer, decompile, or attempt to derive source code, models, weights, prompts, methodologies, or underlying components of the services, except to the extent applicable law prohibits restricting that activity;
(l) Use the services or Outputs to train, fine-tune, benchmark, or develop a competing AI model, search service, or data product;
(m) Circumvent billing, access controls, safety controls, rate limits, or other technical restrictions; or
(n) Misrepresent your identity, affiliation, or authority in ways that affect the integrity of the services or other users.
aysra may publish additional Acceptable Use, Community, Safety, or API rules. Those rules are incorporated into these terms.
content moderation, safety, and IP complaints
aysra may monitor, review, flag, remove, disable, or restrict Your Content or your access to the services where aysra reasonably believes it is necessary to:
(a) Comply with law or legal process;
(b) Protect users, third parties, or the services;
(c) Investigate fraud, abuse, or security incidents; or
(d) Enforce these terms and our policies.
Where required by law, aysra will provide notice regarding significant moderation or suspension decisions and a means of appeal.
If you believe content on the services infringes your intellectual property rights, you may submit a complaint through our IP / DMCA process, the contact for which is listed in Section 21. aysra may remove or disable access to allegedly infringing content and may terminate repeat infringers in appropriate circumstances.
third-party services and content
The services may interoperate with or link to third-party websites, software, APIs, payment processors, app marketplaces, model providers, or data sources ("Third-Party Services"). Your use of Third-Party Services is subject to their own terms and privacy policies. aysra is not responsible for Third-Party Services, their availability, their content, or their data practices, except as required by law.
feedback
If you send aysra suggestions, ideas, enhancement requests, comments, or other feedback, you grant aysra a worldwide, perpetual, irrevocable, sublicensable, royalty-free right to use that feedback without restriction or compensation. aysra will not publicly identify you as the source without your permission unless the feedback is already public or aysra is otherwise permitted by law.
service availability, changes, and beta features
aysra may update, modify, add, or remove features or functionality from the services from time to time. aysra may also offer beta, preview, or experimental features. Beta features are provided "as is," may be modified or discontinued at any time, and may be subject to additional restrictions or disclaimers.
aysra will use commercially reasonable efforts to maintain the services, but does not guarantee that the services will be uninterrupted, error-free, or available at all times.
If aysra materially discontinues a paid service during an active prepaid term and does not provide a substantially similar replacement, aysra will provide any refund required by law and, unless otherwise stated in your purchase terms, a pro-rata refund of prepaid fees for the unused remainder of the then-current term.
account deletion, suspension, and termination
by you
You may stop using the services at any time. You may delete your account through your account settings, or by contacting aysra at the address in Section 21. upon deletion, your account access ends and aysra will remove Your Content from the active services within a reasonable period, subject to backup retention windows and any legal-hold or business-record requirements.
You may also cancel a paid subscription separately from account deletion using the methods described in Section 4.

aysra may suspend or terminate your access to some or all of the services if:
(a) You breach these terms or our policies;
(b) Your use creates legal, security, technical, or reputational risk;
(c) aysra is required to do so by law; or
(d) Your fees remain overdue after notice and any applicable cure period.
Where the circumstances allow, aysra will provide notice and, for ordinary breaches, a reasonable opportunity to cure. for breaches involving fraud, abuse, security risk, or violation of Section 10, aysra may suspend access immediately without prior notice.
effect of termination
Upon termination, your right to use the services ends. Subject to applicable law, aysra's retention practices, and any separate business agreement, aysra may delete or de-identify Your Content after termination. Where feasible and where your account was not terminated for serious abuse, aysra may provide a limited export window.
Sections of these terms that by their nature should survive termination, including ownership, license to feedback, indemnification, disclaimers, limitation of liability, dispute resolution, governing law, and miscellaneous provisions, will survive.
force majeure
Neither party will be liable for failure or delay in performance of its obligations under these terms (other than payment obligations) to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, public health emergencies, internet or telecommunications failures, third-party service outages, cybersecurity incidents not caused by the affected party's negligence, or other events outside the affected party's reasonable control.
disclaimers
To the maximum extent permitted by law, the services are provided "as is" and "as available." aysra and its affiliates, licensors, and suppliers disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and any warranties arising out of course of dealing or usage of trade.
aysra does not warrant that the services, source data, derived metrics, or outputs will be accurate, complete, reliable, secure, or error-free, or that access will be continuous or uninterrupted.
Nothing in these terms excludes any warranty or remedy that cannot be excluded under applicable law, and nothing in these terms limits any mandatory consumer rights you have under the law of your place of residence.
limitation of liability
To the maximum extent permitted by law, aysra and its affiliates, licensors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the total aggregate liability of aysra and its affiliates, licensors, and suppliers for all claims arising out of or relating to the services or these terms will not exceed the greater of:
(a) The amount you paid to aysra for the services in the twelve (12) months before the event giving rise to the claim; or
(b) One hundred U.S. dollars (USD $100).
The foregoing limitations do not apply to the extent prohibited by law, including where applicable law does not allow exclusion of certain damages or limitation of liability for certain conduct. The limitations also do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence where non-waivable, or any other liability that cannot be limited under applicable law.
If you are a business customer with a separately negotiated Order Form or business agreement, that agreement may specify different caps, carve-outs, and remedies.
indemnification
If you are using the services on behalf of an organization or for commercial, professional, or institutional purposes, you will defend, indemnify, and hold harmless aysra and its affiliates, officers, directors, employees, and agents from and against third-party claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) Your Content;
(b) Your use or misuse of the services;
(c) Your breach of these terms, including without limitation the representations made in Sections 2, 4, 6, and 10;
(d) Your violation of law or the rights of a third party; or
(e) Any claim by a Cardholder Organization arising out of your use of its payment method.
If you are a consumer, the foregoing indemnity applies only to the extent permitted by law and only to claims caused by your unlawful content or willful misconduct.
dispute resolution and governing law
Before either party files a formal claim, the parties agree to attempt informal resolution by written notice and a good-faith discussion period of at least forty-five (45) days. Notices for this purpose should be sent to the address in Section 21.
U.S. consumer arbitration
If the dispute is not resolved informally, then except for matters that may be brought in small-claims court and requests for injunctive relief related to misuse of the services or infringement of intellectual property, the dispute will be resolved by binding arbitration administered by [AAA under its Consumer Arbitration Rules / JAMS under its consumer minimum standards and applicable rules], on an individual basis only.
Arbitration may be conducted by videoconference, in the county where you reside, or in another mutually agreed location. aysra will pay arbitration fees to the extent required by the applicable consumer rules or law. no class, collective, representative, or mass action may proceed except to the extent such waivers are unenforceable. if many similar claims are filed against aysra in a coordinated manner, the parties agree that the administrator's batch or mass-arbitration procedures will apply.
You may opt out of this arbitration clause by sending written notice to legal@aysra.com within thirty (30) days after first accepting these terms. your opt-out will not affect any other provision of these terms.
savings clause for consumers
If you are a consumer residing in a jurisdiction that gives you the right to bring disputes in local courts, prohibits mandatory arbitration, or prohibits certain waivers, these terms do not deprive you of those non-waivable rights, and the applicable mandatory rules of your jurisdiction prevail over conflicting provisions of this section.
governing law
Except to the extent prohibited by applicable law, these terms are governed by the laws of the State of [Illinois / state of incorporation], without regard to conflict-of-laws rules. if you are a consumer, nothing in these terms affects any mandatory rights or protections you have under the laws of your place of residence.
notices
aysra may give notices to you by email to the address associated with your account, by posting in the services, or by other reasonable means. notices are effective when sent.
Legal notices to aysra, including notices of dispute under Section 20, IP / DMCA complaints, and subject-organization correction requests under Section 9, must be sent in writing to:

changes to these terms
aysra may modify these terms from time to time. If aysra makes changes that materially affect your rights or obligations, aysra will provide reasonable advance notice before the changes take effect, by posting an update in the services, sending email to the address associated with your account, or other reasonable means. If you continue using the services after the effective date of the updated terms, you agree to the updated terms. If you do not agree, you must stop using the services and, if applicable, cancel your subscription before the updated terms take effect.
Non-material changes, including clarifications, typographical corrections, and changes required by law, may take effect immediately.
miscellaneous
You may not assign or transfer these terms or your rights under them without aysra's prior written consent, except where assignment is required by law. aysra may assign these terms as part of a merger, financing, reorganization, sale of assets, or by operation of law.
If any provision of these terms is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in effect.
aysra's failure to enforce any provision is not a waiver of its right to do so later.
These terms, together with supplemental terms, policies, and documents expressly incorporated by reference, constitute the entire agreement between you and aysra regarding the services and supersede all prior agreements and understandings on the subject matter.
The English-language version of these terms is the controlling version. Translations are provided for convenience only.
